We have a range of consultancy and management services available, from the identification of business opportunities, analysis of the situation, business evaluation, support in negotiating and contracting, asset management and the disinvestment process.

Deal sourcing

Sourcing of both new corporate NPLs portfolios and single names, through:

  • Leveraging on the team’s network.
  • Active mapping of potential targets.

Structuring and coordination of due diligence

  • Strategy, operations, and market analysis;
  • Financial, legal and tax analysis;
  • Cash flow and credit risk analysis;
  • Identification of recovery strategies;
  • B2B negotiation;

Financial modelling

  • Business plan structuring;
  • Financial statements and cash flow forecast;
  • Advise on pricing and valuation of the investment.

Negotiation

  • Advisory on the submission of offers (non-binding and binding);
  • Support on deal and tax structuring;
  • Advisory and support on negotiations of transaction documentation.

Asset Management

  • Help establishing and execute turnaround strategies;
  • Determine adequate capital structure;
  • Restructure existing debts preferably through an extra-judicial procedure and raise new funds (if applicable)
  • Apply active management initiatives, such as reinforcing the management, improving operations, identifying growth areas and M&A opportunities;
  • Structure and prepare reporting to effectively manage the investment.

Divestment

  • Coordination of the divestment process, possession and/or control of the asset under management;

  • Divestment processes will often involve organizing auction sales, on which we will help preparing the asset for the sale, onboarding sell-side advisors, identifying potential buyers / investors, and support negotiations.
